The AMTRAK “A PRAIRIE HOME COMPANION” SWEEPSTAKES (“Sweepstakes”) starts at 12:00:01 am Eastern Daylight Time (“EDT”) on or about 5/22/06 and ends at 6:00:00 pm EDT on 7/31/06 for Internet entry and on 7/31/06 for postmark of mail-in entry (the “Promotion Period”). The sponsor of this Sweepstakes is National Railroad Passenger Corporation, 60 Massachusetts Ave. NE, Washington, DC 20002 (“Sponsor”). The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein.

ELIGIBILITY: THE SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE CONTIGUOUS CONTINENTAL UNITED STATES WHO ARE EIGHTEEN (18) YEARS OF AGE OR OLDER AS OF ENTRY DATE. Sponsor, Picturehouse, Inc., New Line Productions Inc., West Coast Marketing, a division of The Susquehanna Hat Company (“West Coast Marketing”), their respective employees, affiliates, subsidiaries, parent companies, agencies, participating retailers (collectively, the “Promotion Parties”) and those living in the household of same are not eligible to enter or win. All U.S. Federal, state and local rules and regulations apply. Void in Alaska, Hawaii, Puerto Rico, all U.S. territories and possessions and military installations and where prohibited or restricted by law. By entering this Sweepstakes, entrants agree to abide by all terms of these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects.

HOW TO ENTER ONLINE: During the Promotion Period you may enter via the Internet by logging onto www.amtrak.com/phc (the “Entry Site”) and following the Sweepstakes entry directions. You will be asked to provide your name, address, telephone number, date of birth and (if applicable) e-mail address. ALL ENTRIES ON THE ENTRY SITE MUST BE RECEIVED BY THE END OF THE PROMOTION PERIOD. The Entry Site's database clock will be the official time keeper for this Sweepstakes. All requested information must be completed to enter and be eligible to win.

HOW TO ENTER BY MAIL: On a postcard, handprint (no photocopies or mechanical reproductions accepted) your name, address, telephone number, date of birth and e-mail address (if applicable). Mail your completed entry to AMTRAK "A PRAIRIE HOME COMPANION" SWEEPSTAKES, PO Box 6044, Sherman Oaks, CA 91413 ("Mail-in Entry"). ALL MAIL-IN ENTRIES MUST BE POSTMARKED BY 7/31/06 AND RECEIVED BY 8/7/06.

ONLY ONE (1) ENTRY PER PERSON, ADDRESS OR EMAIL ADDRESS WILL BE ACCEPTED REGARDLESS OF THE MANNER OF ENTRY.

The Promotion Parties, prize suppliers, and any and all Internet server(s) and access provider(s), and each of their respective affiliates, subsidiaries, parent corporations, retailers and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, “Releasees”) are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in the Sweepstakes; inability to access the Entry Site; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site (including the Entry Site) or for any other reason whatsoever; typographical, printing or other errors; any Mail-in Entries which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, postage-due or any combination thereof that causes the entries not be received by the Sponsor or designated Sweepstakes administrator for any reason. Proof of mailing entry or entering information at the Entry Site is not considered proof of delivery to or receipt by Sponsor of such entry. Illegible, incomplete, duplicate and mechanically reproduced entries will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible. By entering the Sweepstakes, entrants affirm that they have read and accepted these Official Rules. The Sweepstakes shall be governed by and construed in accordance with the laws of the United States. By entering the Sweepstakes, entrants hereby exclusively submit to the jurisdiction and venue of the federal and state courts of the United States located within the State of New York and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. The information obtained via the entry will be used by Sponsor and its affiliates and Promotional Partners for marketing purposes. Promotional Partners will use such information in accordance with their independent online privacy policies. Sponsor and its affiliates would like to use this information to contact you either by mail or email with updates about special promotions or offers. If you prefer not to receive updates do not check the appropriate box online or indicate such preference on the postcard used for your entry submission. Any entry information collected from the Sweepstakes shall be used only in a manner consistent with the consent given by entrants at the time of the entry, with these Official Rules and with the Sponsor's Online Privacy Policy, which can be accessed at the Entry Site.

WINNER SELECTION: Winners will be selected in a random drawing from among all eligible entries on or about 8/14/06 by West Coast Marketing, an independent judging organization, whose decisions are and shall be final and binding in all matters relating to this Sweepstakes. All prizes will be awarded, assuming a sufficient number of eligible entries are received. Grand Prize winner and First Prize winner will be notified by 8/21/06 using the contact information provided at the time of entry and will be required to execute and return a notarized Affidavit of Eligibility/Release of Liability, an IRS W-9 form and where legal, a Publicity Release form (collectively, “Prize Claim Documents”). If a winner is not of legal age of majority in his or her state of residence (a “minor”), at Sponsor’s option, the prize either will be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner will be required to ratify and sign Prize Claim Documents. If a winner (or, in the case of a minor, such minor winner's parent or legal guardian) fails or refuses to sign and return all Prize Claim Documents within ten (10) days of issuance, the winner may be disqualified and an alternate winner may be selected. If a winner fails or refuses to sign and return all Prize Claim Documents within ten (10) days of issuance, the winner may be disqualified and an alternate winner may be selected. Grand Prize winner’s travel companion will also be required to execute the Prize Claim Documents within this same deadline. Failure to return all required forms within this time period, or to comply with any other provision herein, may result in the applicable winner being disqualified and an alternate winner selected. Second Prize and Third Prize winners will be notified within sixty (60) days of drawing date with the delivery of their prize via mail or other delivery service selected by Sponsor. If a prize notification or prize is returned as undeliverable for any reason, or if any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, the prize will be awarded to an alternate winner in a subsequent random drawing. Sponsor will successively attempt to contact up to two (2) potential winners of the prize in accordance with such procedure, and if there is still no confirmed winner of the prize in question after such attempts have been made, the prize may go unawarded. Prizes are not transferable, assignable, or redeemable for cash. No substitution for a prize by the winner will be allowed. If necessary, due to unavailability of a prize or parts thereof for any reason, a prize of equal or greater value will be awarded at the sole discretion of the Sponsor. All details and other restrictions or prizes not specified in these Official Rules will be determined by Sponsor in its sole discretion.

All Federal, state and local tax liabilities, and the reporting consequences thereof, and any other fees or costs associated with the prize, are the responsibility of the winners. Acceptance of a prize constitutes winner's permission (except where prohibited) for the Promotion Parties to use the winner’s name, photograph, likeness, voice, biography, statements, and address (city and state) and any other similar materials for marketing, promotional and publicity purposes worldwide and in all forms of media now known or hereafter developed without additional compensation or any limitation.

PRIZES: One (1) GRAND PRIZE will be awarded. The Grand Prize shall consist of a trip for two (2) people to attend a taping of Garrison Keillor’s radio show including rehearsal and dinner with cast and crew (collectively to be known as the “Event”) including: roundtrip coach-class Amtrak train tickets for two (2) people between the major US gateway Amtrak station nearest winner's home and a destination city to be determined at the discretion of the Sponsor (“Destination City”), two (2) consecutive nights hotel accommodations (single standard room, double occupancy) at a hotel selected by Sponsor, two (2) admission tickets to Event, and $250 spending money. The approximate retail value (“ARV”) of the Grand Prize is $1,200. NOTE: actual value of the trip will vary based on Destination City and point of departure. All travel is subject to the following restrictions:

All travel arrangements are to be administered by Sponsor or its designee(s). Winner must be able to travel on dates necessary to attend Event (as determined by Sponsor) or Event portion of the prize shall be forfeited and no additional prize element will be awarded. In such event, Grand Prize winner will receive the Amtrak ticket, hotel stay and $250 spending money portion of the Grand Prize with the following travel condition: Winner must give a minimum of forty five (45) days’ advance written notice of desired dates of travel, and such dates shall be subject to Sponsor’s approval in its sole discretion.

All travel must be taken and completed within one (1) year of awarding. All travel is subject to Amtrak, hotel and Event availability. Blackout dates apply. Winner and travel companion must travel together on the same itinerary. No changes will be made to travel details once any portion of travel arrangements has been made.

Prize conditions may be added or modified by Sponsor. Releasees are not responsible for cancellation of any element of Grand Prize or for changes in schedule of any element of the Grand Prize. All additional meals, gratuities, transportation to and from station of departure/arrival and to and from hotel, taxes (including government taxes, Passenger Facility Charge or 9/11 Security Fee), incidental expenses, licenses, registrations, telephone calls, fees or charges for changing dates, travel insurance premiums, transportation and other expenses not specified herein are the responsibility of the winner and his or her travel companion. Trip and travel insurance is not included. Travel must originate from and end at the same train station. Once travel commences, no stopovers are permitted; if stopover occurs, full fare may be charged from stopover point for the remaining segments, including return, of the trip.

The winner's travel companion must be 18 years of age or older, or if the companion is a minor, the winner must be such minor's parent or legal guardian. Winner and his or her travel companion must travel on the same itinerary and possess all required travel documents and identification (including, without limitation, visas and a valid passport, if applicable).

One (1) FIRST PRIZE will be awarded. The First Prize shall consist of a screening of the movie “A PRAIRIE HOME COMPANION” (the “Picture”) for the winner and up to fifty (50) guests, for a total of fifty-one (51) people, at a location in or near the winner’s hometown (“Screening”) and one (1) “A PRAIRIE HOME COMPANION” Soundtrack CD. Specific time and location of Screening is at the sole discretion of the Sponsor. If the potential First Prize winner is unable to attend the Screening on the date specified by Sponsor, the prize may be forfeited and an alternate winner selected at sole discretion of Sponsor. Prize consists of Screening only. Transportation to and from the Screening, concession items and any other expenses not specified herein are the responsibility of the Grand Prize winner and his or her Screening guests. All expenses and liabilities not specified herein are the sole responsibility of the winner and his/her guests. Guests must be age appropriate for the Picture. In the event the winner or any of his or her guests engage during the Screening in behavior that (as determined by Sponsor in Sponsor's sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the Screening early, and send the winner and/or his or her guests home with no further compensation. The ARV of the Grand Prize is $465.98.

Fifty (50) SECOND PRIZES will be awarded. Each Second Prize consists of an Amtrak picnic basket. The ARV of each Second Prize is $39.99.

Twenty-Five (25) THIRD PRIZES will be awarded.& Each Third Prize consists of one (1) “A PRAIRIE HOME COMPANION” Soundtrack CD. The ARV of each Third Prize is $15.98.

The total ARV of all prizes to be awarded in this Sweepstakes is $4,064.98.

The odds of winning a prize are determined by the total number of eligible entries received.

LIMITATIONS ON LIABILITY: Releasees shall not be liable to winner or any other person or entity for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor’s sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the train carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Releasees shall not be liable for any loss or damage to baggage. By entering the Sweepstakes, you agree to waive any claim for any such damages, whether or not accrued and whether or not known or suspected to exist in your favor against any Releasee for any special, indirect, consequential, incidental or punitive damages in respect of any claim under any theory of liability arising out of or related to the Sweepstakes or your participation therein. This Limitations on Liability section shall be subject to Amtrak policy and conditions of carriage.

GENERAL: Entrants release and waive any claims they may have against Releasees for any and all injuries(including without limitation death or disability), claims, damages, losses, costs, or expenses of any kind (including without limitation attorney’s fees) resulting from, in whole or in part, directly, or indirectly, the acceptance, use, or misuse of any prize or element thereof, or participation in this Sweepstakes or any Sweepstakes related activity.

If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsor will conduct a random drawing to award all prizes from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If a dispute arises about who submitted an entry on the Entry Site, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met. If a dispute cannot be resolved to Sponsor's satisfaction, the entry will be deemed ineligible.

NOTE: Internet entry must be made by the entrant only at the Entry Site. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including, but not limited to, commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of any device to automate the entry process is prohibited.
